All-Link Air & Sea Limited, a regional logistics solutions provider listed on the SGX-ST Mainboard, has announced its intention to acquire a 51% controlling interest in PT All Link Indonesia, a newly established Indonesian freight forwarder. This strategic move aims to bolster All-Link’s presence in Indonesia’s freight forwarding industry.
The acquisition involves All-Link subscribing to 5,100 new shares of PT All Link Indonesia for IDR 5.1b in cash, representing 51% of the company’s enlarged share capital. Existing shareholders of PT All Link will subscribe to 4,400 new shares, maintaining a 49% stake in the company. All shares are being acquired at par value, with no additional consideration payable to current shareholders. The proposed investment is pending approval from Indonesian regulatory authorities.
Peter Neo, CEO of All-Link, stated, “This proposed subscription would give All-Link a 51% controlling interest in an Indonesian freight forwarder, whilst its existing shareholders remain invested alongside us with a 49% stake. We have structured it conservatively — the shares are taken at par and no consideration passes to the existing shareholders.”
The acquisition will also see All-Link securing three out of five seats on the board of directors, allowing the company to guide the business whilst leveraging local expertise and relationships. This expansion into Indonesia is a strategic step for All-Link as it seeks to enhance its regional footprint in the freight-forwarding sector.
