Natural Cool Holdings Limited has announced the acquisition of the remaining 25% equity interest in Natural Cool Aircon Distribution Sdn. Bhd. (NCAD) from Lee Weng Peng. This acquisition, completed by its wholly owned subsidiary Natural Cool Airconditioning & Engineering Pte Ltd, was finalised for S$1.00, reflecting NCAD’s negative unaudited net asset value of approximately S$249,856 as of 30 June 2026. NCAD is currently dormant.
The acquisition aims to streamline NCAD’s shareholding structure, granting Natural Cool greater flexibility in managing the dormant company. According to the Board of Directors, the transaction is not expected to materially impact the Group’s net tangible assets per share or earnings per share for the financial year ending 31 May 2027.
Executive Chairman Choy Bing Choong stated that none of the directors or controlling shareholders have any direct or indirect interest in the acquisition, aside from their existing shareholdings or directorships within the company.
Natural Cool Holdings, known for its diverse business operations, spans airconditioning and engineering, paints and coatings, technology, and food and beverages. The company’s airconditioning division provides services across retail, commercial, and industrial sectors, whilst its technology division focuses on communications engineering and Internet of Things solutions. The acquisition of NCAD is part of Natural Cool’s ongoing efforts to optimise its operational structure and enhance management efficiency.
